1. Acceptance of Terms

By accessing or using Synctaku ("the Service"), operated by Synctaku ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you must not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.

2. Service Description

Synctaku provides the following functionality:

Automated synthetic audio generation from user-submitted text scripts via the ElevenLabs API
Word-level timestamp extraction and alignment
Timeline file generation compatible with Adobe Premiere Pro and DaVinci Resolve (XMEML) and Final Cut Pro (FCPXML)
SRT subtitle file generation (sentence-level and word-by-word)
EU AI Act compliant provenance metadata embedding
Packaged delivery of all output assets as a downloadable ZIP archive
Storage of user-saved scripts, optionally organized into series/projects
A user-configurable pronunciation dictionary, applied automatically to scripts you generate
Standalone regeneration of a single script line as a short audio clip

The Service is provided "as is" and "as available." We do not guarantee uninterrupted availability, specific audio quality, or compatibility with all versions of third-party editing software.

3. Account & Eligibility

To use the Service, you must:

Be at least 16 years of age
Provide a valid email address for authentication
Not use the Service for any unlawful purpose

You are responsible for maintaining the security of your account. You must not share your magic link authentication emails with others. You are liable for all activity that occurs under your account.

4. Credits & Payment

New accounts receive 5 complimentary credits upon registration.
Additional credits can be purchased via Stripe at the prices listed on the Service.
One credit corresponds to approximately one minute of synthesized audio, depending on text density and speech rate.
Credits are deducted atomically at the time of generation. If generation fails after deduction, credits are automatically refunded to your balance.
All credit purchases are final and non-refundable, except where required by applicable consumer protection law.
Credits do not expire and are tied to your account.
We reserve the right to modify pricing at any time. Existing credit balances will not be affected by price changes.

5. Intellectual Property & Content Ownership

Your Content: You retain all rights to the text scripts you submit. By submitting content, you grant us a limited, non-exclusive license to process your text solely for the purpose of generating audio output. This license terminates when processing is complete.

Generated Output: You own the audio, XML, SRT, and ZIP files generated from your scripts, subject to the following conditions:

Generated audio must retain the embedded provenance metadata described in Section 8. Removing or tampering with this metadata may violate applicable law.
You are responsible for ensuring any video or other published work you create using our outputs meets your own disclosure obligations under Article 50 of the EU AI Act or other applicable synthetic-media disclosure laws — our provenance metadata on the delivered audio file is an aid to that compliance, not a substitute for it, since it does not automatically survive video editing/export. See Section 8 and our Privacy Policy for details.
Generated audio is subject to ElevenLabs' usage policies and must not be used to impersonate real individuals or create deceptive deepfakes.

Our Platform: All Synctaku branding, UI design, source code, and proprietary technology remain our exclusive intellectual property.

6. Limitation of Liability & DMCA Shield

Synctaku is a neutral data orchestration and timeline utility. We generate synthetic audio from user-supplied text and structure it into editing-software-compatible formats. We do not create, host, supply, or distribute any video footage, anime content, or copyrighted visual materials.

Users assume 100% legal liability for any copyrighted visual assets, third-party intellectual property, or video footage they choose to pair with our generated XML timeline files and audio. Any combination of our synthetic audio and XML data with visual media is performed entirely locally by the user at their sole discretion and legal risk.

To the maximum extent permitted by applicable law, Synctaku and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from:

Your use or inability to use the Service
Any content generated through the Service
Any third-party claims related to content you create using our generated outputs
Service interruptions, data loss, or technical failures

Our total aggregate liability for any claims arising from or relating to the Service shall not exceed the total amount you have paid us in the 12 months preceding the claim.

7. Acceptable Use

You agree not to use the Service to:

Generate audio intended to deceive or defraud (e.g., impersonation, phishing, social engineering)
Produce content that is illegal, harmful, threatening, abusive, defamatory, or obscene
Circumvent, disable, or interfere with the credit ledger system or security features
Reverse-engineer, decompile, or attempt to extract source code from the Service
Resell, redistribute, or white-label the Service without written authorization
Automate access to the Service beyond normal human usage patterns (e.g., bots, scrapers)

8. EU AI Act Compliance

In support of the EU Artificial Intelligence Act (Regulation (EU) 2024/1689), the raw synthetic audio file generated by the Service:

Is marked as AI-generated through an embedded ID3v2 provenance metadata tag
Contains a SHA-256 content hash for integrity verification

This metadata is embedded in the delivered audio file and does not automatically carry over into a video you edit and export using that audio — most video-editing software does not preserve a source audio clip's ID3 tags in the rendered output. Article 50's obligation to disclose AI-generated content to end viewers of a published work rests with you as the publisher; our provenance metadata is provided to support that obligation, not to fulfill it on your behalf. Users are prohibited from removing, altering, or obfuscating the provenance metadata on the delivered file. Doing so may constitute a violation of EU law and these Terms.

9. Third-Party Services

The Service integrates with ElevenLabs, Stripe, Supabase, and Vercel. Your use of these services is also governed by their respective terms and policies. We are not responsible for the availability, performance, or policies of these third-party providers.

10. Termination

We reserve the right to suspend or terminate your account, without prior notice, if you:

Violate these Terms or any applicable law
Engage in fraudulent activity or abuse the credit system
Use the Service in a way that could harm other users or our infrastructure

Upon termination, your access to the Service will cease immediately. Any remaining credits on your account are forfeited and non-refundable upon termination for cause.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration body in the jurisdiction of the Service operator.
